Terms and Conditions

1. Application

These Terms and Conditions apply to all quotations, proposals, orders and services provided by UAV Surveys ("we", "our" or "us") unless otherwise agreed in writing. Acceptance of a quotation, purchase order or instruction to commence work constitutes acceptance of these Terms and Conditions to the exclusion of any other terms proposed by the client.

2. Quotations

All quotations are valid for 30 days unless otherwise stated and are based upon the information provided by the client at the time of quotation.

Quotations may be revised where the scope of work changes, additional services are requested, unforeseen site conditions are encountered, or factors beyond our reasonable control materially affect the cost or duration of the project.

3. Scope of Services

We shall provide the services described in the accepted quotation using reasonable skill, care and diligence consistent with accepted professional practice within the UK surveying industry.

Any services not expressly included within the quotation shall be treated as additional work and charged at the applicable rates.

4. Client Responsibilities

The client shall:

  • provide complete and accurate project information;

  • obtain any necessary permissions for access to land, buildings or structures;

  • disclose all known hazards, restrictions and site conditions before work commences;

  • provide suitable access to the survey area; and

  • ensure that any client-supplied information is accurate.

We shall not be liable for delays, additional costs or inaccuracies resulting from incomplete or incorrect information supplied by the client.

5. Flight Operations

All aerial operations are undertaken in accordance with applicable UK legislation and Civil Aviation Authority requirements.

Flights remain subject to weather conditions, visibility, wind, airspace restrictions, NOTAMs, temporary restrictions, equipment serviceability and pilot judgement.

Our Pilot in Command has absolute authority to postpone, suspend or terminate any operation where continuation would be unsafe, unlawful or contrary to good aviation practice.

Any remobilisation resulting from circumstances outside our reasonable control may be charged separately.

6. Survey Limitations

Survey results are dependent upon site conditions existing at the time of capture.

Accuracy may be affected by, including but not limited to:

  • satellite availability and GNSS performance;

  • multipath interference;

  • vegetation cover;

  • water;

  • reflective surfaces;

  • weather;

  • inaccessible areas;

  • ground movement;

  • client-supplied control data;

  • obstructions; and

  • environmental conditions beyond our control.

Unless expressly stated within the quotation, no guarantee is given that every feature present on site will be visible, measurable or represented within the final deliverables.

7. Deliverables

Deliverables shall comprise only those products specified within the accepted quotation.

The client shall examine all deliverables upon receipt and notify us in writing of any alleged errors or omissions within 14 days.

Failure to do so shall constitute acceptance of the deliverables.

Minor revisions required due to processing adjustments may be carried out at our discretion. Requests for changes outside the agreed scope shall constitute additional work.

8. Intellectual Property

All copyright, database rights and intellectual property rights in survey data, imagery, point clouds, CAD files, BIM models, reports, photographs, videos, orthomosaics and all other deliverables remain vested in UAV Surveys unless expressly assigned in writing.

Upon receipt of full payment, the client is granted a non-exclusive, non-transferable licence to use the deliverables solely for the purpose for which they were commissioned.

Deliverables shall not be resold, sublicensed, modified for commercial redistribution or relied upon by third parties without our prior written consent.

9. Payment

Unless otherwise agreed in writing, invoices are payable within 30 days of the invoice date.

We reserve the right to:

  • require payment in advance;

  • request stage payments;

  • suspend work where invoices remain unpaid;

  • withhold delivery of final products until payment has been received in full; and

  • recover all reasonable costs incurred in recovering overdue sums.

Interest shall accrue on overdue accounts at the rate permitted under the Late Payment of Commercial Debts (Interest) Act 1998.

10. Cancellation

Where a project is cancelled after acceptance, we reserve the right to recover:

  • work completed to the cancellation date;

  • mobilisation and demobilisation costs;

  • travel and accommodation costs;

  • third-party expenses;

  • non-refundable bookings; and

  • administrative costs reasonably incurred.

11. Reliance Upon Deliverables

Deliverables are prepared solely for the client and solely for the purpose defined within the quotation.

No responsibility or liability is accepted for reliance placed upon any deliverable by any third party or for any purpose other than that for which it was commissioned.

The client shall indemnify UAV Surveys against any claim arising from unauthorised third-party reliance.

12. Limitation of Liability

Nothing within these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability which cannot lawfully be excluded.

Subject to the above, our total aggregate liability arising out of or in connection with the services shall not exceed the lower of:

  • the total fees paid for the relevant project; or

  • the limit of our applicable Professional Indemnity Insurance.

To the fullest extent permitted by law, UAV Surveys shall not be liable for:

  • indirect or consequential loss;

  • loss of profit;

  • loss of revenue;

  • loss of business;

  • loss of contracts;

  • loss of opportunity;

  • loss of anticipated savings;

  • loss or corruption of data;

  • delay damages; or

  • claims made by third parties.

13. Force Majeure

We shall not be liable for any delay or failure in performance resulting from events beyond our reasonable control including adverse weather, airspace restrictions, equipment failure, satellite outages, utility failures, industrial action, acts of God, terrorism, government action or other unforeseeable events.

14. Confidentiality

Each party shall treat all commercially sensitive information obtained during the course of the project as confidential and shall not disclose such information except where required by law or with the prior written consent of the other party.

15. Data Protection

Any personal data processed by UAV Surveys shall be handled in accordance with the UK General Data Protection Regulation and the Data Protection Act 2018.

16. Entire Agreement

These Terms, together with the accepted quotation, constitute the entire agreement between the parties and supersede all previous discussions, negotiations and representations.

17. Severability

Should any provision of these Terms be found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

18. Waiver

Failure by UAV Surveys to enforce any provision of these Terms shall not constitute a waiver of any right or remedy.

19. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms or the services provided shall be subject to the exclusive jurisdiction of the courts of England and Wales.
